Documents regarding the spin-off of material assets of Siemens Healthcare GmbH to Siemens Healthineers AG

Siemens Healthineers AG and Siemens Healthcare GmbH entered into a Spin-off and Transfer Agreement on August 18, 2023. According to this agreement, Siemens Healthcare GmbH transfers almost all of its assets to Siemens Healthineers AG. The objective of the spin-off is to simplify the corporate governance structure of Siemens Healthineers group. In particular, this will also create the requirements for the formation of a Supervisory Board with equal representation at the level of Siemens Healthineers AG. The publication of the following spin-off documents is made pursuant to 
Sections 125 (1) sentence 1 in conjunction with 62 (3), 63 (1) German Transformation Act (UmwG).
