Siemens Healthineers plans change of auditor to PwC

  • Supervisory Board welcomes Audit Committee’s recommendation to propose PwC to the Annual Shareholders’ Meeting 2024 as auditor for fiscal year 2024
  • A tender procedure in accordance with the legal requirements was carried out

The Supervisory Board welcomes the Audit Committee’s recommendation to propose PricewaterhouseCoopers GmbH, Wirtschaftsprüfungsgesellschaft, as auditor for fiscal year 2024 (beginning October 1, 2023) to the shareholders at the Annual Shareholders’ Meeting 2024. The decision was preceded by a comprehensive tender process in accordance with current European legal standards.

“PwC has submitted the most attractive offer in a comprehensive bidding procedure – with a combination of professionalism, specialist and industry knowledge, an impressive track record in taking on new audit mandates, and an extensive approach to digitalization,” said Dr. Marion Helmes, Chair of the Audit Committee of the Supervisory Board of Siemens Healthineers AG. Dr. Jochen Schmitz, Chief Financial Officer (CFO) of Siemens Healthineers AG, added: “I am confident that PwC’s high standards meet our strict requirements for independent auditing.”

The Supervisory Board intends to submit an election proposal to the Annual Shareholders’ Meeting based on the recommendation of the Audit Committee. On the basis of this election proposal, the Annual Shareholders’ Meeting 2024 of Siemens Healthineers AG will vote on the auditor of the financial statements and consolidated financial statements as well as the auditor for the review of the half-year financial report for fiscal year 2024.

The audit mandate can then be issued to PwC for fiscal year 2024 and subsequently be extended annually by the Annual Shareholders’ Meeting; in accordance with the currently applicable legal standards, up to and including fiscal year 2033. The audit firm’s partners responsible for carrying out the statutory audit would change on a regular basis within the time limits laid down by law.
